1. Terms and conditions of use

Welcome to Tog.ae. There are several terms and conditions of your use and access to Tog.ae and its related sub-domains, sites, services and tools as well. By accepting the terms and conditions of and by using the site, you hereby agree that you will abide by the terms and conditions. Hence, this agreement becomes effective upon its acceptance. Therefore, it is highly recommended that you read all terms and conditions before beginning to use our site. Also, read User Agreement and Privacy policy.

2. Eligibility for membership

Tog.ae wants to ensure that its members can have a luxurious experience on the site. And, it also looks forward to ensuring that all its members fulfil the requirements of the law. Tog also wants its members to follow legally binding contracts prevent the minors from becoming members and purchasing unsuitable products. Therefore, anyone who is above 18 years of age can access our site and become a member as well. In case, you represent a company or an organisation, you ensure that you will abide by all applicable laws governing the use and access of the site. Most importantly, no person and organisation can become members more than ones.

3. Your account and registration obligations

In order to register yourself on the site, you will be required to provide certain information and register a username and password. By becoming a member, you will abide by:

• You will use the site with responsibility and restrict any unwanted activity from your account. On top of that, you will disallow the access of your password and account to people unconcerned. If your password or account has been compromised, you will inform Tog.ae immediately.
• You are required to provide accurate and correct information
• However, you will make sure not to include more details than required ones such as email addresses, telephone numbers and personal details. Plus, Tog must not be used as a password/ID.
• You will also treat other’s members’ information with care and protect it from any loss of confidentiality.
• You will also be required to update regarding your personal information when it is required.

Tog.ae entertains the right to ask for any information in order to ascertain your credentials. And, Tog may also verify your tools of financial mediums. In the case of avoidance from the laws, Tog retains the right to sustain the membership.

4. Electronic communications

By using Tog.ae, you agree and acknowledge that we can update you about any notices on the site through emails. Tog will also send you the promotional emails at any time and this abides by the laws. If you wish not to receive any promotional notices, you can simply unsubscribe the service.

5. Amendments to this User Agreement

By using our site, you agree that we can update our User Agreement at any point of time and it will be as per laws. You also acknowledge that Tog.ae has sole discretion to make any amendments at any point of time without posting a prior notice on the site.

6. Fees and services

Tog.ae is an online platform that offers the services of sales and purchases of different niches of products between end-user sellers and buyers. Moreover, there are no fees for membership on our site and we do not charge for browsing and buying listed items on the site. Sellers will have to pay some charges on the transactions when their products are successfully sold on the site. Without posting any changes on the site, Tog reserves the right to charge all fees due to Tog.ae

In case of non-payment of fees, Tog.ae reserves the right to:

• Issue a warning
• Take any legal actions
• If non-payment exceeds over 30 days, amount from your MyWallet may be deducted
• Invoice you for a fixed late payment fee

7. Tog SafePay

Tog’s SafePay method allows you to pay easily online. It also facilitates Store Credit and Cash On Delivery (COD). By these facilities, Tog is just helping the buyers to make easy online payments. However, Tog is not responsible for non-payment between buyer and seller.

8. Your information

Tog reserves the right to use any information or material, personal or otherwise that you may provide to us other users of the site in the process of registration, buying, listing and selling. You may solely be responsible for your information as Tog only acts as a passive conduit.

9. Use of the site

While using the site, you will not:

• Post any irrelevant information in another category
• Post without proper links
• Post fraudulent and wrong information
• Post counterfeit or stolen items
• Fail to deliver payments within time
• Transfer your site account and username or password to another party without consent
• Abuse Tog’s shipping policy, MyWallet Policy, Listing Policy, and conditions updated from time to time.

You undertake, represent and warrant that:

• you are above 18 years of age at the time of purchasing an item
• if you are a corporate entity, you are authorized to abide by laws
• you will be the only and exclusive legal and beneficial of items that you will be selling with us successfully
• you will inform Tog.ae about any postings, items and transactions which appear to be in contradiction with our policy
• You will not disclose any personal information such as personal phone number, email addresses in the listing or buying process. No bypass of Tog.ae will be acceptable
• Similarly, you will not collect other user’s personal information and avoid manipulation as it will be considered as a breach of privacy or applicable laws.

10. Copyrights

All contents, items, graphics, logos, icons, images, clips, data compilations and software are the sole property of Tog.ae. They are protected by copyright, trademarks, patents and other intellectual property rights and laws.

11. Trademarks

All things such as logos, MyWallet and everything on the site are either registered or unregistered trademarks of Tog.ae. Therefore, Tog’s trademarks may not be used in any manner without prior written permission.

12. Abusing Tog.ae

If you observe any violation of our User Agreement, we would highly encourage you to let Tog.ae know about it. Without prejudice to any other rights and remedies of Tog.ae, Tog may limit, suspend or even withdraw a user’s access to the site. Tog.ae may also take legal steps in case of infringement of its legal rights.

13. Buyer Protection

Tog’s specialised “Buyer Protection Program” is designed to safeguard buyers against any fraud by any sellers on the site. If the product you have purchased from a seller is lesser than the value described on the site or is of inferior quality, the buyer may seek protection under the Buyer Protection Program. If it is a fraud, Tog.ae will investigate the matter and reimburse the buyer with the original amount. You acknowledge and agree that if any item returned to Tog.ae by a buyer is illegal or otherwise unlawful that Tog.ae may in its sole discretion destroy the item or take any other steps as it considers necessary. Shipping fees for items that have been returned:

• Return item due to seller’s fault
  1. If the buyer submitted a claim request within 15 days of purchase, Tog will:
  2. Pay the delivery shipment fee
  3. Seller pays the return fee
• If the buyer claimed after 15 days (if approved):
  1. Buyer will pay for the delivery fee
  2. Seller pays the return shipment fee
  3. If the request is not approved, the buyer will have to pay for return and shipment charges

14. Platform for communication

Tog.ae is only a platform where buyers and sellers can communicate, interact and meet with one another for the sole purpose of buying and selling of an item. However, Tog.ae is not involved in this transaction except being a platform. Therefore, Tog.ae does not guarantee for user’s content, actions, inactions, items or information. In particular, Tog.ae is not responsible for non-performance or breach of any contract between buyer and seller. And, Tog shall not have any obligations or liabilities in this regard. Whether it is the quality, nature of items or any disputes between buyers and sellers, Tog will not be responsible for anything.

15. Undeliverable items

If the seller’s goods or items are not delivered at the desired destination within 60 days, Tog.ae along with its affiliates reserves the right to discard, destroy or liquidate them. It will be applicable if the seller has not informed the company. Therefore, this clause expressly is an authorization to Tog.ae to take necessary actions. Moreover, Tog is likely to charge for all shipment charges that may incur.

16. Privacy

Whereas Tog.ae takes all possible measures to ensure maximum security from fraud and cyber attacks, the internet cannot be trusted and privacy cannot be fully guaranteed. By reading this clause, you agree and acknowledge that Tog.ae may use information that you have provided us. Our privacy policy applies to collection, process and transfer of personal information.

17. Breach of User Agreement

In the case of breach of this User Agreement, Tog.ae reserves the right to limit your activity, remove your products and end your listings immediately. Your account may also be suspended temporarily or permanently. The breach of User Agreement occurs when:

• Tog.ae is not able to verify your personal information
• if Tog.ae believes that your actions may cause any legal liabilities

As a result, Tog.ae reserves the discretion to take any necessary steps. A user that has been limited from accessing the site may never be able to avail membership of the site. And, Tog also reserves the right to recover any amounts due and owing by you to Tog.ae.

18. Selling & hosting

In compliance with User Agreement and privacy policy, you can offer items for sale once you are a registered member. Your listings may include graphics, images, texts and pictures on the site. And, it is a must to provide contact details that can be verified. If you provide contact details other than personal information section, it will be considered a breach of User Agreement. In order to authenticate a winner buyer’s identity, you can contact with them. Once the sale has been made successfully, Tog.ae will send an email from the site directly to the seller and winning buyer. You acknowledge and agree that you will not use another user's data for any purpose other than fulfilling a relevant transaction resulting from selling the item(s) on the Site.

19. Providing feedback

Tog.ae encourages buyers and sellers to provide feedback so that we could be able to make improvements to our system and services in order to facilitate members in the best manner. However, it is advised to avoid any derogatory remarks and abusive language. If you continuously receive negative feedback ratings, without prejudice to any other rights and remedies of Tog.ae under this User Agreement or at law, Tog.ae reserves the right to suspend, limit or withdraw your access to the site.

20. Withdrawal of access or membership

Without any prior intimation, Tog.ae reserves the right to limit, suspend or revoke your membership for any reason without any prejudice.

21. No warranty

Tog.ae makes no representations or warranties about the accuracy, reliability, or completeness of any content, information, software, text, graphics, links or communications provided on or through the use of the site. Warranty does not cover periodic checks, maintenance or repair of any items at all.

22. Indemnity

You agree and acknowledge indemnify all officers, affiliates, employees and agents of Tog.ae from any claims, demands, actions, losses and liabilities howsoever suffered due to your breach of this User Agreement.

23. Relationship and notice

No provisions of this User Agreement are deemed to forge a partnership or agency between Tog and you. Therefore, Tog will not be bound to anything in any manner. In the case of notices, an email can be sent to us at legal@tog.ae and a hard copy sent to us through a courier. We may give you a notice through a mail or prepaid shipping.

24. Disputes

If any dispute, controversy or difference arises from this User Agreement, the parties involved will try to resolve the issue amicably over a period of 30 days. At the end of 30 days, the issue will have to be arbitrated before a competent authority for resolution. The parties to the arbitration shall seek to agree on a sole arbitrator to be nominated to the LCIA court for appointment. The seat or legal place of the arbitration shall be Dubai International Financial Centre in Dubai, UAE.

25. Transfer of rights and obligations

By reading this clause, you grant Tog.ae the right to transfer any part of its rights, benefits, obligations and liabilities to any of its affiliates without your prior agreement. Tog agrees to inform you through posting on the site.

26. General

• Any dispute or claim arising out of or in connection with this website shall be governed and construed in accordance with the laws of UAE.
• United Arab of Emirates is our country of domicile.
• Minors under the age of 18 shall are prohibited to register as a User of this website and are not allowed to transact or use the website.
• If you make a payment for our products or services on our website, the details you are asked to submit will be provided directly to our payment provider via a secured connection.
• The cardholder must retain a copy of transaction records and Merchant policies and rules.
• We accept payments online using Visa and MasterCard credit/debit card in AED currency.

In case if any point in this User Agreement is considered null or invalid, the entire User Agreement will not affect the validity and enforceability of the remaining clauses of the agreement. And, no person has right to enforce any terms of this User Agreement.

The Company reserves the right to change these terms and conditions at any time without prior notice.
